For the purposes of carrying out certain transactions (acquisitions of interests in existing companies, acquisition of new projects) or project financing in several economic or social sectors, we carry out legal assessments of the project in question for acquiring or participating companies as well as for financial institutions interested in project financing. These assessments generally consist of the certification of compliance with the laws and regulations in force of the deeds of partnership, licenses, permits or generally unspecified authorizations permitting the carrying out of activities in the State where the proposed project is located.
We also check the authenticity of the aforementioned deeds and securities with the authorities that have issued and/or preserved them. At the same time, we verify the existence or absence of any litigation (of common, tax law or other) related to the concerned project.
As a result of our investigations and assessments, we index, based on their degree of importance, legal problems affecting the properties and securities of the project or that may affect the completion of the transaction under the maximum conditions. We advise and assist our clients in the resolution of legal problems they are faced with and in the development and implementation of the documents, contracts and other necessary legal deeds for the completion of the transaction, including the minutes of the companies’ general meetings, the minutes of management decisions, loan agreements, mortgage agreements (land, mining or other), security agreements or pledges of shares and shares and the settlement of certain disputes likely to jeopardize the financing of the project or the acquisition of interests in the concerned project.
